Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of LEVER AI ("LEVER," "the Service"), a Slack-based AI Growth Engineer application operated by Legacy Media LLC, doing business as RazoRSharp Networks ("RazoRSharp Networks," "we," "us," or "our"), located at 1370 Trancas St #709, Napa, CA 94558.

By installing LEVER AI into your Slack workspace, authorizing the OAuth connection, or otherwise using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

These Terms incorporate by reference the RazoRSharp Networks Master Service Agreement, which applies to all services provided by RazoRSharp Networks and its affiliates. In the event of a conflict between these Terms and the Master Service Agreement, these Terms govern with respect to the LEVER AI Service specifically.

2. The Service

LEVER AI is an AI-powered business operating system that lives inside Slack. It is designed to handle day-to-day operational tasks, including morning briefs, pipeline follow-ups, client communication drafts, reminders, and reporting, so that business owners can focus on higher-leverage activities.

LEVER operates within your Slack workspace using the permissions you grant during installation. The specific capabilities available to you depend on the subscription plan you have selected and the Slack scopes authorized at time of installation.

RazoRSharp Networks reserves the right to modify, update, or discontinue any feature of the Service at any time, with reasonable notice where practicable. We will use reasonable efforts to notify customers of changes that materially affect the Service.

3. Subscription, Billing, and Payment

3.1 Subscription Plans

LEVER AI is offered on a subscription basis. Pricing, features, and billing cycles are set forth at the time of purchase or as specified in your Service Order. RazoRSharp Networks offers the following billing structures:

• Monthly subscriptionsbilled on a recurring monthly basis.
• Annual subscriptionsbilled annually unless otherwise specified.
• Project-based engagementsbilled as either 50% upfront and 50% upon completion, or amortized over 6, 12, or 24 months.

3.2 Payment Terms

All invoices are due upon receipt. Payment must be made in full in U.S. currency. Fees may include applicable taxes, governmental assessments, or pass-through charges, which RazoRSharp Networks reserves the right to invoice separately as they arise.

A late fee of 6% will be assessed on any outstanding balance that remains unpaid 10 days past the due date. If an account remains unpaid for 30 days, RazoRSharp Networks reserves the right to suspend or terminate the Service and assess an annual late fee of 10% on outstanding balances until paid in full.

3.3 Fee Changes

Fees are guaranteed during the initial subscription term. After the initial term, fees will be assessed at the then-current standard rates unless a new agreement is entered. RazoRSharp Networks will provide reasonable notice of any fee changes.

3.4 Additional Charges

Customers may incur additional fees for services outside the standard subscription, including custom AI workflow development, prompt engineering, additional integration work, or dedicated onboarding beyond what is included in the selected plan.

4. Acceptable Use

You agree to use LEVER AI only for lawful business purposes and in compliance with all applicable laws and regulations, including the CAN-SPAM Act of 2003, applicable data protection laws, and Slack's own Terms of Service and API usage policies.

You may not use LEVER AI to:

• Send spam, unsolicited bulk messages, or deceptive communications.
• Harass, threaten, or harm any person or entity.
• Transmit content that is unlawful, defamatory, obscene, or infringing on the intellectual property rights of others.
• Attempt to gain unauthorized access to any system, network, or data.
• Circumvent, disable, or interfere with security features of the Service.
• Resell, sublicense, or redistribute access to LEVER AI without written authorization from RazoRSharp Networks.
• Use the Service for any fraudulent, illegal, or unauthorized purpose.

RazoRSharp Networks reserves the right to immediately suspend or terminate access in the event of any actual or suspected violation of this Acceptable Use policy. No refund will be issued for fees paid prior to a suspension or termination resulting from a violation.

Internet fraud is a federal crime. Fraudulent use of the Service will be prosecuted to the fullest extent of the law.

5. Data, Privacy, and Slack Permissions

LEVER AI accesses your Slack workspace using the permissions (OAuth scopes) you authorize during installation. These permissions allow LEVER to read messages, send responses, create and manage channels, access files, and perform other actions necessary to operate as your AI Growth Engineer.

LEVER processes message content and workspace data solely to deliver the Service. Data is not sold to third parties. Certain data may be processed by AI inference providers (including Anthropic, OpenAI, and Google) solely for the purpose of generating LEVER's responses.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes what data we collect, how we use it, how long we retain it, and your rights with respect to your data.

You are responsible for ensuring that your use of LEVER AI within your Slack workspace complies with any applicable obligations you have to your own employees, clients, or end users, including notification and consent requirements under applicable privacy laws.

6. Intellectual Property

RazoRSharp Networks retains all right, title, and interest in and to the LEVER AI application, including all underlying software, models, workflows, prompts, interfaces, and related materials (collectively, "LEVER IP"). These Terms do not grant you any ownership rights in LEVER IP.

You retain ownership of all content and data you provide to the Service ("Customer Data"). You grant RazoRSharp Networks a limited, non-exclusive license to use Customer Data solely to operate and improve the Service. We do not claim ownership of your business data, communications, or outputs generated by LEVER in response to your inputs.

Outputs generated by LEVER AI in response to your commands are provided for your use in your business operations. RazoRSharp Networks makes no claim of ownership over such outputs.

7. Confidentiality

RazoRSharp Networks will treat all Customer Data as confidential and will not disclose it to third parties except: (a) as necessary to provide the Service, including to AI inference providers under appropriate data processing agreements; (b) as required by law, court order, or lawful government request; or (c) with your explicit written consent.

RazoRSharp Networks will cooperate with law enforcement agencies as required by applicable law.

8. CAN-SPAM and Email Compliance

Both parties represent and warrant that they will at all times comply with all applicable statutes, rules, and regulations governing their respective businesses, including the CAN-SPAM Act of 2003 and all laws governing deceptive trade practices, online marketing, and advertising.

If LEVER AI is used in connection with any email or outbound communication workflows, you are responsible for maintaining a current suppression list and honoring unsubscribe requests in conformance with applicable law.

9. Term and Cancellation

9.1 Term

These Terms begin on the date you first install or use LEVER AI and continue for the duration of your subscription. Monthly subscriptions renew automatically on a month-to-month basis. Annual subscriptions renew annually. Either party may prevent renewal by providing at least 30 days written notice prior to the end of the then-current term.

9.2 Cancellation by Customer

You may cancel your subscription at any time by providing at least 30 days prior written notice to [email protected]. Cancellation does not relieve you of the obligation to pay all fees due through the end of the current billing period. No prorated refunds are provided for unused portions of a paid subscription period.

To remove LEVER from your Slack workspace, navigate to your workspace Settings, select Manage Apps, locate LEVER AI, and select Remove App. Removal from Slack does not constitute written cancellation notice under these Terms.

9.3 Cancellation by RazoRSharp Networks

RazoRSharp Networks may terminate your access to the Service: (a) immediately and without notice for violation of the Acceptable Use policy or these Terms; or (b) without cause upon 30 days written notice, in which case any prepaid fees for unused Service periods will be refunded.

9.4 Effect of Termination

Upon termination, your right to access and use LEVER AI ceases immediately. RazoRSharp Networks will delete your workspace data within 30 days of termination in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination, including payment obligations, intellectual property, indemnification, and limitation of liability, will survive.

10. Disclaimer of Warranties

TO THE EXTENT PERMITTED BY APPLICABLE LAW, LEVER AI AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. RAZORSHARP NETWORKS, ITS EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

RAZORSHARP NETWORKS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. RAZORSHARP NETWORKS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUTS GENERATED BY LEVER AI. AI-GENERATED CONTENT IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, FINANCIAL, OR BUSINESS ADVICE.

RAZORSHARP NETWORKS IS NOT LIABLE FOR THE CONTENT OF, OR LOSS OF, ANY DATA TRANSFERRED TO OR FROM CUSTOMER, OR STORED BY CUSTOMER, VIA THE SERVICE.

11. Limitation of Liability

IN NO EVENT WILL RAZORSHARP NETWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF RAZORSHARP NETWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAZORSHARP NETWORKS' TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO RAZORSHARP NETWORKS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, the limitations above apply to the maximum extent permitted by law.

12. Indemnification

You will indemnify, defend, and hold harmless RazoRSharp Networks and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, suits, actions, demands, proceedings, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of LEVER AI; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or publicity right; or (d) any content you cause to be processed through the Service.

13. Third-Party Services

LEVER AI operates within Slack and may integrate with third-party platforms including CRM systems, communication tools, and AI model providers. Your use of those third-party services is governed by their respective terms and privacy policies. RazoRSharp Networks is not responsible for the practices, availability, or content of any third-party service.

AI inference for LEVER is provided by third-party model providers (Anthropic, OpenAI, Google, and others). RazoRSharp Networks acts as the service operator and is responsible for LEVER's behavior; the underlying model providers are not parties to these Terms.

14. Modifications to These Terms

RazoRSharp Networks reserves the right to update or modify these Terms at any time. We will provide notice of material changes by posting the updated Terms at gitlever.ai/terms and, where practicable, by notifying you through your registered contact method. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration in Napa County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

16. General

Entire Agreement. These Terms, together with the Privacy Policy and any applicable Service Order, constitute the entire agreement between you and RazoRSharp Networks with respect to LEVER AI and supersede all prior or contemporaneous agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Waiver. Failure by RazoRSharp Networks to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign these Terms or any rights hereunder without prior written consent from RazoRSharp Networks. RazoRSharp Networks may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

Notices. Notices to RazoRSharp Networks must be sent in writing to [email protected] or to RazoRSharp Networks, 1370 Trancas St #709, Napa, CA 94558.

No Reseller Agreement. These Terms do not apply to resellers of LEVER AI. Resellers must enter into a separate Reseller Agreement with RazoRSharp Networks.
